Professional manufacturing partnership terms and conditions
1. Introduction
These Terms of Service ("Terms") govern your business relationship with Xiamen Motyirls Technology Co., Ltd., operating under the brand name "Wildnexo" ("Company", "we", "us", or "our"). By engaging in business activities with us, including but not limited to placing orders, requesting quotes, or utilizing our ODM/OEM services, you ("Client", "you", or "your") agree to be bound by these Terms.
Wildnexo specializes in the design, manufacturing, and supply of outdoor wood stoves and related heating equipment for global markets, particularly serving Nordic, North American, and Asian regions.

3. Services and Products
3.1 Manufacturing Services
We provide comprehensive manufacturing solutions including:
- ODM (Original Design Manufacturing) services with minimum order quantities starting from 300 pieces
- OEM (Original Equipment Manufacturing) services for custom specifications
- Stock supply of standard products with minimum order quantities starting from 50 pieces
- Product development and design consultation
- Quality assurance and compliance certification services
3.2 Product Specifications
All products are manufactured using premium materials including 304 stainless steel and high-temperature resistant materials. Products comply with CE certification standards and EN 15821 outdoor combustion equipment directives.
4. Order Terms and Conditions
4.1 Minimum Order Quantities
4.2 Delivery Terms
- Stock products: 7-15 working days from order confirmation
- Custom products: 25-35 working days from design approval and deposit receipt
- Delivery terms are Ex Works (EXW) Xiamen unless otherwise specified
- Client is responsible for shipping, customs clearance, and import duties
4.3 Payment Terms
- Stock orders: 30% deposit, 70% balance before shipment
- Custom orders: 40% deposit, 60% balance before shipment
- Payment methods: T/T (Telegraphic Transfer), L/C (Letter of Credit)
- All bank charges outside China are borne by the client
5. Quality Assurance and Compliance
5.1 Quality Standards
We maintain ISO 9001 quality management systems and conduct 100% inspection of critical processes. Finished products are inspected according to AQL 2.5 sampling standards.
5.2 Certifications and Compliance
- CE certification for European market compliance
- EN 15821 outdoor combustion equipment standards
- RoHS environmental compliance
- 30+ design and utility patents for intellectual property protection
5.3 Warranty
Products are warranted against manufacturing defects for a period of 12 months from the date of shipment. Warranty covers material and workmanship defects but excludes normal wear, misuse, or damage from improper installation or maintenance.
6. Intellectual Property Rights
All intellectual property rights in our proprietary designs, patents, trademarks, and trade secrets remain the exclusive property of Wildnexo. Clients may not reproduce, modify, or distribute our proprietary designs without written authorization.
For custom ODM projects, intellectual property rights in the final design will be determined and specified in individual project agreements. Client-provided designs and specifications remain the property of the client.
7. Limitation of Liability
Our liability is limited to the repair, replacement, or refund of defective products within the warranty period. We shall not be liable for any indirect, consequential, special, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data.
Our maximum liability for any claim shall not exceed the total amount paid by the client for the specific products giving rise to the claim.
8. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labor disputes, material shortages, or pandemic-related disruptions.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or relating to these Terms or our business relationship shall be resolved through good faith negotiation.
If negotiation fails, disputes shall be submitted to arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing, with proceedings conducted in English.

11. Terms Updates
We reserve the right to modify these Terms at any time. Updated Terms will be effective immediately upon posting on our website. Continued business engagement after Terms updates constitutes acceptance of the revised Terms.
